These Terms and Conditions (the “Terms”) set out the rules for accessing and using the SocialBIT website and platform (the “Platform”), as well as the conditions for providing the digital services (the “Services”). By accessing the website, creating an account, or using the Platform, you confirm that you have read, understood, and accept these Terms.

If you do not agree with the Terms, please do not use the Platform.

Note: Section 22 (“Personal Data and Privacy”) also includes a Romanian translation/adaptation of a “Privacy Policy”–type text provided by you.


1. Provider details

The Platform and the Services are provided by SocialBIT (“SocialBIT”, “we”, “us”).

2. Definitions

“User” = any person who accesses the website/Platform.
“Client” = a User who purchases paid Services.
“Account” = the user account created on the Platform.
“Content” = any materials (texts, descriptions, images, video, briefs, settings, data) uploaded by the User or generated within the Platform.
“Third‑party services” = services/applications/websites not owned/operated by SocialBIT (e.g., social networks, payment processors, etc.).
“Social networks / Social Media” = third‑party platforms (Facebook/Instagram/LinkedIn/YouTube, etc.), without limitation.

3. Eligibility and acceptance

3.1. You declare that you are at least 18 years old and have legal capacity to enter into a contract.
3.2. If you act on behalf of a legal entity, you declare that you have the authority to bind it contractually.
3.3. You undertake to provide true, complete, and up‑to‑date information.

4. Account, security, and access

4.1. You are responsible for maintaining the confidentiality of your Account credentials and for all activity carried out through your Account.
4.2. You will notify us immediately if you suspect unauthorized access.
4.3. We may suspend/block access to the Account in the event of reasonable suspicion of fraud/abuse or breach of the Terms.

5. Description of the Services

5.1. SocialBIT provides digital services (including planning/automation/generation and content management features or other functions described on the website/in the Platform) according to the selected package.
5.2. The Services may depend on the internet and on Third‑party services (including social networks).

6. Subscriptions, orders, billing, and payments

6.1. Prices, billing frequency, duration, and included features are displayed on the website/in the Platform at the time of purchase.
6.2. By making a payment, you request the provision of the Services according to the selected package.
6.3. Payments may be processed by third parties; such parties may have their own terms.
6.4. For recurring subscriptions, you agree that payment may automatically repeat in accordance with the settings/payment method until cancellation.

7. Uploaded materials (including images) and copyright – essential clarification

7.1. Copyright in uploaded materials (including images) remains with the author/rightful owner. SocialBIT does not claim ownership rights over your content.
7.2. Images uploaded to the Platform are not added to a public SocialBIT database and are not made accessible to other users, except where the selected functionality explicitly requires sharing (e.g., collaboration with members you invite to the same workspace) and only to the extent necessary for that functionality.
7.3. By uploading content, you grant SocialBIT a limited, non‑exclusive, royalty‑free license strictly necessary for technical storage, processing, display within your Account, and provision of the Services.
7.4. You represent and warrant that you have all rights, consents, and authorizations necessary for the uploaded content and its use on the Platform.

8. Generated content, editorial responsibility, and results – clarification and limitation

8.1. Any content provided or generated through the Platform (texts, ideas, posts, clips, descriptions, calendars, etc.) may depend on User inputs (niche, brief, objectives, target audience, tone, etc.).
8.2. We are not responsible for poor, unsatisfactory, or expectation‑misaligned results to the extent they are caused, in whole or in part, by the Client’s niche/brief description (incomplete/erroneous/unclear) or by the lack of essential information provided by the Client.
8.3. The Client is responsible for reviewing, adapting, and approving content before use/publication, including for legal compliance and compliance with social media policies.

8.4. Storage and deletion of posts

8.4.1. Each new post generated or uploaded to the Platform is stored on our servers for 30 (thirty) days from the creation date.
8.4.2. After this period expires, the post is permanently and irreversibly deleted from our systems and cannot be recovered.
8.4.3. During the 30‑day period, the Client may download the post(s) to their own device (computer/phone) for archiving and later use. Responsibility for saving content within this period rests solely with the Client.

9. Social Media connections, Third‑party services, and third‑party links – clarification

9.1. The Platform may offer connections to social networks or other Third‑party services. Configuration, permissions, tokens, passwords, settings, and administrative rights are the sole responsibility of the Client/User.
9.2. SocialBIT does not control Third‑party services and is not responsible for unavailability, interruptions, errors, API/policy changes, account suspensions/restrictions, or limitations caused by third parties.
9.3. The Platform may display links or results that lead to third‑party websites (e.g., external resources, tools, social media pages). These sites are not owned or controlled by SocialBIT. We assume no responsibility for the content, privacy policies, or practices of third‑party sites.

9.4. YouTube integration / YouTube API (if available)

To the extent the Platform uses YouTube API services or functions that interact with YouTube, Users agree to comply with YouTube’s Terms and Google’s Privacy Policy.

10. Cookies

10.1. The website/Platform may use cookies and similar technologies for functionality, authentication, preferences, security, and analytics.
10.2. By using the website/Platform, you agree to the use of cookies in accordance with the Privacy Policy and/or the Cookie Policy (if published separately).
10.3. Certain partners (e.g., analytics, advertising, affiliation) may use cookies in accordance with their own policies, as permitted by law.

11. Intellectual property, brand, and restrictions on logo use – clarification

11.1. The Platform (code, interface, design, names, graphic elements, documentation) is protected by intellectual property laws and belongs to SocialBIT and/or its licensors.
11.2. Use of the SocialBIT logo or other SocialBIT graphic elements for links to the website/Platform is not permitted without prior written agreement (trademark/brand assets license).
11.3. Copying, modification, distribution, or reverse engineering is prohibited, except as permitted by law.

12. iFrames / framing – clarification

12.1. Without SocialBIT’s prior written approval, you may not create frames (iFrames) around our pages or frame/display the website/Platform in a way that alters its visual presentation or may mislead as to ownership, affiliation, or control.

13. Linking policy to our website – clarification

13.1. Absent a written agreement, links to the website are permitted only if made fairly, without being misleading and without suggesting a partnership/endorsement that does not exist.
13.2. We reserve the right to request removal of any link to the website (or a specific link). By continuing to link to the website, you agree to comply promptly with any removal request.
13.3. We reserve the right to modify these Terms and the linking policy at any time; continued linking constitutes acceptance of the changes.

14. Requests to remove links from our website – clarification

14.1. If you identify a link on the website that is offensive or problematic for any reason, you may contact us at office@socialbit.ro. We will review the request; however, we are not obligated to remove the link or to respond within a specific timeframe, except where required by law.

15. Accuracy and availability statement – clarification

15.1. We make reasonable efforts to keep information up to date; however, we do not guarantee that information on the website is complete, accurate, or continuously updated.
15.2. We do not promise that the website/Platform will be available at all times or that materials will be continuously updated.

16. Disclaimer of warranty – extended clarification

16.1. To the maximum extent permitted by law, we do not represent or warrant that the Platform is free of inaccuracies, errors, bugs, interruptions, or that it is fully reliable or fit for a particular purpose.
16.2. The Platform and Services are provided “as is” and “as available”, without express or implied warranties, including (without limitation) implied warranties of merchantability, fitness for a particular purpose, availability, security, title, and/or non‑infringement.
16.3. Use of the Platform is at the User’s own risk. You are solely responsible for any damage resulting from use, including (without limitation) damage to your computer system or loss of data.

17. Limitation of liability – clarification and legal alignment

17.1. To the maximum extent permitted by law, SocialBIT shall not be liable to you for indirect, incidental, special, punitive, or consequential damages (including loss of profits, loss of data, loss of opportunities, reputational harm) arising out of or in connection with the use of the Platform/Services, regardless of the legal basis (contract, tort—including negligence—product liability, or otherwise).
17.2. To the maximum extent permitted by law, SocialBIT’s total aggregate liability for any claims related to the Services is limited to the amounts actually paid by the Client to SocialBIT for the Services giving rise to the claim during the last 12 (twelve) months.
17.3. Mandatory carve‑outs: Nothing in these Terms excludes or limits liability where the law prohibits such exclusion/limitation, including (without limitation) for:

  • death or personal injury caused by our negligence, where applicable by law;
  • fraud or fraudulent misrepresentation;
  • any other liability that cannot be excluded under applicable law.
    17.4. Some jurisdictions do not allow the exclusion of certain warranties or the limitation/exclusion of certain types of damages; in such cases, the limitations apply to the extent permitted by law.
    17.5. Free services/information: Where certain information or functionalities are offered free of charge, SocialBIT shall not be liable for losses or damages of any kind arising from their use, to the extent permitted by law.

18. Liability for published content and third‑party channels – clarification

18.1. SocialBIT cannot be held responsible for the final content published by the User (including content in posts/clips/materials) or for the websites, channels, accounts, or pages where the User uses such content.
18.2. The User agrees to protect and indemnify SocialBIT for any claims related to content published by the User, in accordance with the indemnification section.

19. User obligations and prohibited use

19.1. You undertake to use the Platform lawfully and in good faith.
19.2. Use of the Platform for spam, fraud, phishing, infringement of copyright/trademark rights, unauthorized access, technical attacks, or distribution of illegal/defamatory/discriminatory content, etc., is prohibited.

20. Indemnification

20.1. You agree to indemnify SocialBIT for any damages, penalties, claims, and costs (including reasonable attorneys’ fees) arising from:

  • breach of the Terms;
  • unlawful use of the Platform;
  • content uploaded/published by you;
  • violation of the policies of connected Third‑party services.

21. Cancellation, suspension, and termination

21.1. You may cancel the subscription in accordance with the options available in the Account or by request to office@socialbit.ro.
21.2. We may suspend/terminate access in cases of non‑payment, chargeback, fraud, or breach of the Terms.
21.3. Upon termination, certain clauses (IP, liability, indemnification, governing law) remain in force.

22. Personal data and privacy (Privacy Policy)

22.1. Data processing is carried out in accordance with this section, which constitutes the Privacy Policy applicable to Platform Users/Visitors.

22.2. Terminology

a) “Personal data / Personally identifiable information” means any information that identifies or can be used to identify, contact, or locate a person (e.g., name, address, phone, email, billing/contracting data, etc.).
b) It does not include information collected anonymously or demographic data not associated with an identified person.

22.3. Data we collect

a) We may collect basic profile information from all Visitors/Users (e.g., data provided when creating an Account).
b) From Users who become Clients (purchase Services), we may additionally collect name, address, phone, email, and information necessary for contracting, billing, and service provision.
c) We may also collect information regarding Platform use (e.g., settings, preferences, activity, technical logs), including via cookies and similar technologies (see also Section 10).

22.4. Who collects the data

a) Data may be collected directly by SocialBIT.
b) In addition, third‑party providers (e.g., payment processors, banks, technical service providers) may collect data in connection with transactions and use of their services. SocialBIT does not control how third parties use such data; we recommend reviewing their policies.
c) Some third parties may act as technical intermediaries and process data solely to provide the service, without long‑term storage, depending on their own policies and legal obligations.

22.5. How we use data

We use personal data to:
a) administer Accounts and provide the Services;
b) personalize the Platform experience and improve functionalities;
c) operational communications (e.g., Account notifications, support, technical changes);
d) commercial communications (e.g., offers, news, relevant Service information), as permitted by law and with opt‑out options;
e) respond to requests and provide requested information;
f) prevent fraud, ensure security, and comply with legal obligations.

22.6. With whom we may share data

a) We may share data with providers who help us operate the Platform (hosting, payment processing, analytics, support), strictly on a need‑to‑know basis and, where applicable, under contractual confidentiality commitments.
b) We may share aggregated (non‑identifiable) user information with partners/affiliated agencies or providers.
c) Data may be disclosed where necessary to comply with a legal obligation or a legitimate authority request.
d) SocialBIT does not make your data public to other users, except where the selected functionality requires sharing (e.g., collaborators you invite).

22.7. Options (opt‑out) and communications

a) You may opt out of commercial/marketing communications by following the unsubscribe instructions in messages received or by contacting us at office@socialbit.ro.
b) Communications strictly necessary for service provision (e.g., technical or security emails) may continue even if you opt out of marketing.

22.8. Storage

a) Data is stored under reasonable security conditions, with access limited to staff/providers who need access for the stated purposes.
b) Data is not generally accessible to third parties or employees, except those involved in service provision, support, or technical operations, under confidentiality conditions.

22.9. Cookies

a) Yes, the Platform uses cookies to obtain information regarding User preferences and selected services.
b) We also use cookies for security (e.g., Account protection). The Platform may automatically log out a User if a session remains inactive for a period of time.

22.10. Log information and technical data

We may use information such as IP addresses, browser types, ISP providers, and other technical data to analyze trends, administer the Platform, track usage, and compile general statistics.

22.11. Partners/providers with access to data

a) We may work with providers who may access certain personal data strictly on a need‑to‑know basis to provide services to SocialBIT.
b) Our policy does not cover data collection or use by independent third parties (e.g., payment providers, social networks, external services).
c) We may disclose data where necessary for legal compliance.

22.12. Security

a) We implement reasonable security measures and periodically review measures/procedures.
b) Sensitive data (e.g., payment information) is generally processed by specialized providers; where applicable, protective measures (e.g., encryption) are used.
c) No system is perfectly secure; we cannot guarantee absolute security against unauthorized access or attacks.

22.13. Data correction

You may request updates or corrections to your data by contacting us at office@socialbit.ro.

22.14. Data deletion/deactivation

a) You may request deletion/deactivation of your data by contacting us.
b) In certain cases, complete deletion may be impossible due to backups, technical logs, or legal obligations. In such cases, we will implement “functional” deletion (e.g., anonymization/restriction of processing) and stop using the data for non‑essential purposes, as applicable.

22.15. Changes to the Privacy Policy

a) We will inform you of changes by publishing the updated version on the website/in the Platform.
b) If changes may result in disclosure of personal data not previously disclosed under this policy, we will take reasonable steps to inform affected individuals and allow exercise of available options (including opt‑out, where applicable).

22.16. Links to other websites

The Platform may contain links to other websites. We recommend reviewing their privacy policies, as they may differ from ours.

23. Amendments to the Terms

23.1. We may update the Terms periodically. The current version is published on the website, together with the date of the last update.
23.2. Continued use of the Platform after any changes constitutes acceptance of the updated Terms.

24. Governing law and dispute resolution

24.1. These Terms are governed by Romanian law.
24.2. Disputes shall be settled amicably; failing that, they shall be resolved by the competent courts at SocialBIT’s registered office, subject to consumer rights. In the case of consumers, jurisdiction shall be determined in accordance with applicable law.

25. SOCIALBIT AFFILIATE PROGRAM

This section applies to persons enrolled in the SocialBIT Affiliate Program (the “Affiliate”).

25.1. Definitions (Affiliate Program)

“Affiliate” = the person who promotes SocialBIT and receives a commission.
“Affiliate link” = a unique tracking link.
“Referred Client” = a client attributed to the Affiliate via the tracking system who purchases an eligible service.
“Active” = a Referred Client with an up‑to‑date paid subscription, with no refund/chargeback, and with payments actually collected by SocialBIT.

25.2. Enrollment and eligibility

25.2.1. SocialBIT may accept or refuse enrollment in the Program at its sole discretion.
25.2.2. The Affiliate warrants that they promote legally and do not use deceptive practices.

25.3. Commission, payment eligibility, and recurrence (explicit requirements)

25.3.1. The commission rate is 30% of the net amount actually collected by SocialBIT for the eligible subscription/service purchased by the Referred Client (excluding taxes, VAT if applicable, processing fees, refunds, discounts, chargebacks, and adjustments).
25.3.2. The commission becomes eligible for payment 30 (thirty) days from the date of purchase/payment collection from the Referred Client (the “Validation Period”).
25.3.3. The commission is recurring: the Affiliate receives a 30% commission for each recurring payment made by the Referred Client as long as the Referred Client remains Active and SocialBIT actually collects the payment.
25.3.4. If the Referred Client becomes inactive (cancellation, non‑payment, refund, chargeback, etc.), the commission stops and may be adjusted in accordance with Section 25.6.

25.4. Tracking and attribution

25.4.1. Attribution is made exclusively through SocialBIT’s tracking system.
25.4.2. SocialBIT does not guarantee uninterrupted tracking (blocked cookies, ad blockers, browser settings, etc.).
25.4.3. Fraudulent practices (cookie stuffing, click spamming, bot traffic, impersonation, etc.) are prohibited and may lead to commission cancellation and account closure.

25.5. Commission payments – PayPal only (explicit requirements)

25.5.1. Payment to the Affiliate is made exclusively via PayPal.
25.5.2. If the Affiliate has not set a valid PayPal account in the affiliate account, SocialBIT will not make payment in any other form (no bank transfer, no cash, no other methods).
25.5.3. The Affiliate is responsible for:
– the correctness of the PayPal address;
– fees charged by PayPal;
– compliance with PayPal policies and applicable law.

25.6. Refunds, chargebacks, and offsets

25.6.1. If a transaction is refunded/charged back or is found to be fraudulent, the related commission becomes ineligible and may be canceled/offset or requested to be reimbursed if it has already been paid.

25.7. Promotion obligations

25.7.1. The Affiliate will not make false statements (e.g., “guaranteed results”, “guaranteed income”).
25.7.2. The Affiliate acts independently and is not an employee/agent of SocialBIT.
25.7.3. The Affiliate will comply with the trademark rules (Section 11) and the linking policy (Section 13).

25.8. Suspension/termination of affiliation

25.8.1. We may suspend/close the affiliate account in case of breaches, fraud, or reputational harm.
25.8.2. Upon termination, ineligible commissions (unmatured/disputed) will not be paid.

25.9. Tax matters

25.9.1. The Affiliate is responsible for declaring and paying any taxes applicable to commissions.
